SaaS (Software as a Service) agreements

A well-drafted SaaS agreement clearly defines the relationship between software providers and their customers, covering key issues such as access and usage rights, fees, SLAs, data protection, intellectual property, renewals and termination.

Our technology lawyers draft, review and negotiate SaaS agreements tailored to your business model, helping you manage risk, protect your software and establish clear commercial terms from the outset.

Software licensing agreements

Software licensing agreements set out how software can be accessed, used and distributed, while protecting the rights and interests of both providers and customers. They commonly cover usage restrictions, fees, intellectual property ownership, warranties, liability, support, maintenance and termination.

Our technology lawyers help software businesses put the right licensing structure in place, ensuring the agreement reflects how the product is supplied, protects ownership of the software and clearly defines the customer’s rights and responsibilities.

IT outsourcing arrangements

IT outsourcing agreements provide the foundations for a successful outsourcing arrangement by clearly defining the scope of the services and each party’s obligations and responsibilities. Before entering into an agreement, you should carefully consider everything from how relationships with end users will be managed to data protection, intellectual property, service levels, liability and termination.

Whether you are the supplier or the customer, our technology solicitors can support you with drafting, reviewing and negotiating IT outsourcing agreements, ensuring the terms align with your objectives and protect you from unnecessary risk.

Website development agreements

Website development agreements provide a clear legal framework for the project, setting out the scope of work, timescales, fees, responsibilities and process for managing changes. They can also address intellectual property ownership, testing, acceptance, support, maintenance and termination.

Whether you are a developer, agency or customer, our technology solicitors can help you put clear, commercially workable terms in place, reducing the risk of scope creep, delays and disputes.

Website Terms and Conditions

Website terms and conditions help protect your business and support compliance with data protection and consumer legislation, including the UK GDPR, the Data Protection Act 2018 and the Consumer Rights Act 2015. They can define how your website may be used, explain how you use personal data, limit liability, protect intellectual property and set out key commercial terms covering payments, subscriptions, delivery, returns and refunds.

Template terms may not reflect how your business operates or provide the protection you need. Our technology solicitors draft and review website terms and conditions tailored to your business model, ensuring they align with your legal obligations and the way you operate.
