A guide to buying and selling a veterinary practice

The sale or purchase of a veterinary practice is likely to be one of the largest financial transactions that a vet will enter into. Whether selling or buying, it is important for vets to understand the process involved. Is your practice ready to sell? Prospective buyers will expect to see information regarding the practice such as existing contracts, maintenance records and property used and/or owned by the business. A buyer will want to learn about all ongoing liabilities it is likely to take over. It is important therefore that, prior to marketing the practice, the seller ensures that the practice information and records are in good order. Marketing the practice Many sellers will use a specialist agent to market their veterinary practice. It makes sense to use an agent who is experienced in marketing veterinary practices. Associate dentist contracts must be reviewed before April 2023

Historically, it has generally been accepted that associate dentists are virtually always self-employed. However, HMRC have withdrawn their guidance on associate dentists’ self-employment status, making it more important than ever to ensure that the correct associate dentist contract is in place and that the reality reflects the contract. From April 2023, each dental associate’s tax status will be considered on a case-by-case basis. Factors that will be considered centre around control, but include whether the associate can exercise sufficient clinical freedoms, whether they have to do all the work themselves or can engage hygienists, therapists or locums as appropriate, and how much freedom they have to choose their own hours worked. HMRC have confirmed that they will not be using the withdrawal of the guidance as a reason to open retrospective enquiries into periods prior to 6 April 2023, and … Continue reading

Getting a Valuation when selling dental practice Most people wouldn’t consider selling a house without a proper valuation (or three), so why would you sell your dental practice without one? There are lots of points to consider here, and a normal business valuation won’t be applicable. Whilst a business is only worth what someone is willing to pay for it, you should never accept a valuation based on the opinion of the buyer (they obviously will want to pay less!). 2. Get specialist adviceWe’ve dealt with a number of matters where a perfectly … Continue reading

Funding care – exploring the minefield

The crisis in social care funding has at last come near the top of the government’s “to-do list”. Sadly, this complex issue has been largely ignored for many years.  That is of little help if you have a loved one currently needing care or about to be in that situation.  It is heart breaking enough to confront the fact that your mother or father may no longer be able to look after themselves.  It can be hard to find the appropriate care without having the additional concern as to how the potentially enormous costs will be paid. The average costs of residential care in the UK in 2017/18 was over £32,000 per annum.  This rose to over £44,500 a year when nursing care was included.  These costs vary hugely across the country and indeed between individual care homes. Depending on … Continue reading
